Since NOOR AL IBDAA HEAVY EQUIP & MACHINERY PARTS TRD (here after called Al IBDAA Equipment’s) is a trading and service company, all the product/service supplied by AL IBDAA will apply its concerned manufacturer’s Terms and conditions.

Price & Payment terms

• 100% advance of the total price with the order or as per the quotation mentioned.
• Buyer undertakes to settle the payment of the Product according to the agreed terms mentioned in offer/proforma/ invoice.
• If the goods are not collected by the buyer within 30 days from the notification, AL IBDAA EQUIPMENTS has the right to cancel the order/delivery and advance payment will not be refunded to buyer.
• In case of buyer cancel the order before the delivery, advance payment to AL IBDAA EQUIPMENTS will not be refunded to buyer
• If the delivery is made before the full payment of the total amount due according to the quotation, the delivered materials and the installed Product will remain the property of AL IBDAA EQUIPMENTS.
• The risk shall transfer to the buyer from the time goods are loaded for transport from AL IBDAA EQUIPMENTS‘s manufacturer to buyer, irrespective of when the payment is made. Any costs, expenses or liabilities, whether foreseen or not, which occur post transfer of risk shall be borne by the buyer, unless specifically mentioned otherwise.
• If the buyer delays any payment, AL IBDAA EQUIPMENTS can interrupt the fulfilment of duties to the buyer.
• Without prejudice to any other remedy or right to claim additional damages, if the buyer delays settling any payment, AL IBDAA EQUIPMENTS has the right, after written notice, to have interest charged on the delayed payment equal to 20% per annum, calculated on daily basis, starting from the date when the amount became overdue till the date payment is credited to AL IBDAA EQUIPMENTS.
• The Buyer shall inform AL IBDAA EQUIPMENTS within 7 business days from the date of invoice if there is any changes required

Delivery Time:

To be agreed or as mentioned in quotation.

Delivery Conditions:

AL IBDAA EQUIPMENTS will deliver the Product according to the terms of quotation or Manufacturer’s terms. the packaging of the Product shall be AL IBDAA EQUIPMENTS’s usual packaging for the transport involved.

Costs for special packaging upon request from the Buyer are not included and shall be paid by the Buyer.

The delivery date can vary and AL IBDAA EQUIPMENTS is not responsible for any penalty for the delay.

If the delivery is delayed because of force majeure such as natural calamities or very bad weather conditions, strikes or lack of power, events concerning the buyer or any other event out of the control of AL IBDAA EQUIPMENTS. Such cases AL IBDAA EQUIPMENTS is not responsible for any penalty for the delay

Upon delivery of the Goods, the Buyer shall carry out an inspection of the Product for any apparent defects in or damage to the Product (such as, but not limited to, surface faults or package faults, etc.), which shall be noted. The Product shall be considered automatically accepted upon delivery to the Buyer, if the Buyer fails to notify AL IBDAA EQUIPMENTS in writing within 6 calendar days after delivery of the Product and in any case before the Product is used by the Buyer. Upon lapse of such time limit or if the Product undergoes usage, the Buyer shall lose any entitlements on account of warranty for apparent defects, deficiency and/or failure (including failure to meet the specific terms of the order confirmation) if buyer failed to inspect the Product and no claim with respect thereto shall be accepted by AL IBDAA EQUIPMENTS later.

Installation/ service

At charge of the Buyer:

• As per our concerned manufacturer’s terms and conditions.
• Travel expenses(Visa & Air ticket), cost of board, lodging and local transportations for the technicians

Safety Measures

The Buyer is required to supply all necessary Personal Protective Equipments to all the personnel involved into installation, commissioning and supervision or service and he is also required to fill up our Safety Check list before the organization of the installation and/or commissioning visit of our technician. The Buyer is responsible for the construction site and for the general technical supervision of it, including safety formalities, accomplishments and charges. AL IBDAA EQUIPMENTS are not responsible for any safety matter.

Manuals

The machinery supply includes user and maintenance manuals as per our manufacturer’s standard.

Exclusions

Our supply does NOT include:

• Items/ service which are not mentioned/indicated in the quotation

Warranty

The warranty will be applied as per the concerned manufacturer’s warranty terms against manufacturing defects

The warranty excludes coverage for accidental damages, improper usage, failure to maintain the product properly, mishandling of products, not carried out periodical service & preventive maintenance on time.

The parts to be repaired or replaced must be returned to AL IBDAA EQUIPMENTS’s or Manufacturer’s address, the risks and expenses are paid by the Buyer. The new replaced or repaired parts will be delivered ex works; the packaging is charged to the Buyer. The replaced parts are AL IBDAA EQUIPMENTS’s property. The expenses for assembling, disassembling or replacing the pieces are charged to the Buyer.

In order to take advantage of the warranties foreseen by the law and by this agreement, the Buyer must send written notice to CONMACH SOLUTION before the date the warranty expires and 48 hours from the moment when the faults are found. The Buyer shall permit CONMACH SOLUTION to inspect the faults and repair them.

In any case the warranty will not be effective for the WEAR PARTS.

Jurisdiction

For any disputes Sharjah court will have exclusive jurisdiction.

Validity of quotation

7 days from the date of quotation or same as mentioned in quotation
